1. Introduction
Welcome to NomadWay, a mobile application and website designed to serve as a social network for digital nomads and remote workers. These Terms and Conditions ("Terms") govern your use of the NomadWay mobile application (the "App") and website (the "Site"), collectively referred to as the "Services," operated by NomadWay OÜ ("us", "we", or "our").
Please read these Terms carefully before using our Services. By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access or use our Services.
2. Acceptance of Terms
Your access to and use of the Services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Services.
3. Eligibility and Account Creation
3.1 Eligibility
- Be at least 18 years old or the age of majority in your jurisdiction, whichever is higher
- Be legally permitted to use the Services by the laws of your home country
- Have the capacity to enter into a binding contract with NomadWay OÜ
3.2 Account Creation
You can create an account by registering with your email address and creating a password. You must provide accurate, current, and complete information during the registration process and keep your account information updated.
3.3 Account Responsibilities
You are responsible for maintaining the confidentiality of your account and password. You accept responsibility for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.
3.4 One Account Per User
Each user is allowed to have only one account. Creating multiple accounts, creating an account on behalf of someone else, or creating an account for an entity if you're not authorized to do so, is prohibited.
4. User Conduct and Content
4.1 User Conduct
You agree to use the Services in a manner consistent with any and all applicable laws and regulations. You agree not to:
- Use the Services for any illegal purpose or in violation of any local, state, national, or international law
- Harass, stalk, intimidate, or harm another person
- Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity
- Interfere with or disrupt the Services or servers or networks connected to the Services
- Attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services
- Collect or store personal data about other users without their express permission
- Share personal contact information publicly on the App.
- Organize or promote external groups or events with the primary intention of moving users to other platforms.
4.2 User Content
You are solely responsible for the content that you post, upload, publish, or display on the Services, or transmit to other users (collectively, "User Content"). You agree that all User Content you provide will comply with our Content Guidelines and these Terms.
4.3 Content License
By posting User Content on or through the Services, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such User Content in any and all media or distribution methods now known or later developed.
5. Intellectual Property Rights
The Services and their original content (excluding User Content), features, and functionality are and will remain the exclusive property of NomadWay OÜ and its licensors. The Services are protected by copyright, trademark, and other laws of Estonia and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of NomadWay OÜ.
6. Privacy and Data Usage
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding your personal information.
7. Termination and Account Deletion
7.1 Termination by You
You may terminate these Terms at any time by closing your account and discontinuing your use of the Services. You can close your account by going to the "Settings" page when logged in and following the instructions to terminate your account.
7.2 Termination by Us
We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the Services will immediately cease.
8. Disclaimers and Limitations of Liability
8.1 Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NOMADWAY OÜ EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
8.2 Limitation of Liability
IN NO EVENT SHALL NOMADWAY OÜ, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
9. Dispute Resolution and Arbitration
9.1 Informal Resolution
Before filing a claim against NomadWay OÜ, you agree to try to resolve the dispute informally by contacting us at [email protected].
9.2 Agreement to Arbitrate
You and NomadWay OÜ agree to resolve any claims relating to these Terms or the Services through final and binding arbitration.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions.
11. Force Majeure
NomadWay OÜ shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond NomadWay OÜ's reasonable control.
12. Miscellaneous Provisions
12.1 Entire Agreement
These Terms constitute the entire agreement between you and NomadWay OÜ regarding our Services and supersede any prior agreements between you and NomadWay OÜ relating to your use of the Services.
12.2 Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the updated Terms on this page.
